About the role
In this role as Assistant Company Secretary, you will:
- Assist with day-to-day corporate secretarial matters for UK and other EMEA entities
- Project manage and coordinate various corporate secretarial work in a wide range of countries
- Draft various types of corporate agreements, resolutions and documentation, coordinate subsidiary board meetings and support internal corporate restructurings and reorganisations
- Coordinate with other Corporate Departments, such as Tax, Treasury, HR and Accounting, as well as outside Legal Counsel and other external advisors and agents
- Assist with information requests, corporate history matters and other questions
- Assist lawyers and other legal professionals in the Thomson Reuters Legal Department and outside counsel with aspects of M&A transactions, customer contracts and compliance matters
- Update global legal entity records in the company’s Blueprint OneWorld database
- Monitor changes in applicable laws, regulations and corporate governance requirements
- Participate in various Thomson Reuters Legal Department special projects, including technology-related initiatives to increase automation, collaboration and knowledge sharing
- Conduct online research and due diligence
- Other duties as assigned
About You
You’re a fit for the role of Assistant Company Secretary if your background includes:
- Bachelor’s degree
- At least 2 years’ experience working in a company secretarial department, law firm or similar environment
- Qualified chartered company secretary helpful, but not required. Good knowledge of the UK Companies Act and Companies House filings and maintaining books and records for UK entities in relation to corporate subsidiaries
- Excellent organizational skills and attention to detail
- Excellent verbal and written communication skills
- Able to work independently
- Able to work across boundaries as part of a global team
- Experience using Blueprint OneWorld or similar company secretarial software
- Excellent PC skills (Word, Outlook, Excel and PowerPoint); knowledge of Microsoft Teams, electronic signature software and document assembly software, a plus
